Job overview
Responsible for providing legal advice and support with regards to:

  • M&A projects management and execution from the legal perspective, ensuring legal compliance, risk management and seamless coordination among internal teams and external advisors; and
  • Global agreements with clients (MNOs and others) and other commercial agreements and affairs across the Group business lines, whether or not arising from the M&A projects, in close coordination with the countries Legal teams and other areas of the Group.

Main responsibilities
The position entails the following responsibilities -to be executed either directly and/or through the supervision of interns and/or external counsel:

1. Legal M&A

  • Preparation and negotiation of preliminary documentation (NDAs, exclusivity letters, etc).
  • Reviewing and drafting of offers (NBOs/BOs/BAFOs, etc.) and subsequent transaction documentation (SPAs, SHA, etc.)
  • Handling the legal due diligence workstream, which mainly involves (a) coordinating external advisors; (b) internal reporting of findings arising therefrom in case of buyside due diligences; and (c) in case of sell-side due diligences, handling legal aspects of vendors due diligence, coordinating internal teams and advisors in order to prepare data room and reports preparation.
  • Providing input (and coordinating gathering from internal teams) to transaction documentation (e.g., sale and purchase agreement, shareholders agreements, etc.) and drafting where necessary (in coordination with external advisor); managing warranties and disclosure exercise in sell-side processes.
  • Coordination of legal commercial workstreams (MSA, TSA, etc.) and involvement in drafting where necessary to ensure full alignment with transaction documentation.
  • Coordination of antitrust workstream.
  • Participation in negotiation meetings.
  • Assisting in the execution of M&A projects signing and closing, coordinating with M&A team both internal and external teams and tasks.
  • Interacting with other Corporate functions (like M&A, Finance, Tax, Commercial, and People) and with the legal teams in the countries if and when their input is required.

2. Legal Business

  • Involvement in drafting and review of business agreements derived or not from M&A transactions.
  • Coordinating and aligning with other areas of the group teams on any topics with cross-functional impact, providing legal support and assistance where required.
  • Preparing updated litigation reports and other deliverables for the group committees, Financial Statements, Information Memorandums and others, as well as support and liaising with external Auditors on any litigation matters as may be required.

The lawyer will directly report to both the Group Head of Legal M&A (50%) and to the Group Head of Legal Business (50%).

Perfil

Experience

  • 3-5 years-experience in M&A transactions, commercial agreements and IP advisory in a top-tier law firm.
  • Proven experience drafting, negotiating and managing legal agreements.
  • Strong team working and communication skills with experience in deals involving different areas and stakeholders.

Education

  • University Degree in Law is required
  • Master of Corporate Law / LLM / Business Administration is a plus.
